Terms of Service
	Please review the following agreement Tiny Planet Inc is desirous of protecting its relationships with its Customers and the business expectancies which have resulted from its efforts, and would not agree to place Consultants of Associate in particular, in any position with its Customers without the promises and commitments made by Associate herein; and,WHEREAS, Associate wishes to provide consulting services to Tiny Planet Inc’s Customer, and understands that he/she would not be placed by Tiny Planet Inc in a position with Customer in the absence of the promises and commitments made herein.NOW, THEREFORE, in consideration of the promises and the mutual covenants herein set forth and other good and valuable consideration, receipt and sufficiency of which are hereby acknowledged, the parties hereto, each intending to be legally bound hereby, agree as follows:Non-Competition Covenants. Associate recognizes and agrees that, in the highly competitive business in which Tiny Planet Inc is engaged, personal contact is of the greatest importance in securing and retaining customers. Associate, therefore, also agrees that upon authorization of this agreement, he/she will not, for a period of one (1) years thereafter, solicit, seek employment or divert, for the purpose of seeking business competitive to that of Tiny Planet Inc, the business of any customer, person, Corporation, or firm with which the Associate or Associate’s Consultant has had contact while introduced to the Customers.Confidentiality. During the term of this Agreement and for one (1) years hereafter, the Associate and Associate’s Consultant may have access to and become familiar with proprietary and confidential information of Tiny Planet Inc including, without limitation, the identity of customers, clients, suppliers, and other business relationships, information concerning the Tiny Planet Inc 's customers financial information, and other confidential information (including, without limitation of the Customers' and the Tiny Planet Inc 's information, files, rolodex, telephone and address books, accounting records, and correspondence) of the Tiny Planet Inc . The Associate acknowledges that such confidential information and proprietary assets are owned and shall continue to be owned solely by Tiny Planet Inc. The Associate agrees that, during and for one (1) years hereafter, the Associate will not use the Confidential Information for any purpose whatsoever or divulge such information to any person or entity.Remedy. The Associate acknowledges that Tiny Planet Inc has expended significant resources in the recruitment, placement, and marketing of the Associate’s Consultant. Accordingly, a breach by the Associate or Associate’s Consultant of any provision of this Agreement, will cause Tiny Planet Inc great and irreparable injury and damage. The Associate acknowledges that Tiny Planet Inc shall be entitled, in addition to any contractual rights or other remedies it may have at law, to the remedies of injunction, specific performance and other equitable relief for a breach by the Consultant of any of the provisions of this Agreement.
